Boeing's Chief Steps Down a Week After Firings Over Ethics
          By KENNETH N. GILPIN

          Published: December 1, 2003

acing challenges from abroad and in Washington, the Boeing Company announced
this morning that Philip M. Condit, the company's chairman and chief executive,
had tendered his resignation, effective immediately.

A statement from the company offered the suggestion that Mr. Condit had been
forced out, saying that "after thorough deliberations," its board "decided that
a new structure for leadership is needed."

However, at a news conference this morning officials, including Mr. Condit,
said that the board acted only after Mr. Condit had suggested himself that
          perhaps he should step aside.

Mr. Condit, who is 62, will be succeeded by Harry C. Stonecipher, 67, as
          president and chief executive.

Lewis E. Platt, 62, was named as non-executive chairman.

Mr. Condit's resignation comes less than a week after Boeing fired Michael
Sears, the company's chief financial officer, and Darleen Druyun, after
determining that Mr. Sears had improperly met with Ms. Druyun at a time when
she was the chief procurement officer for the Department of the Air Force.
